Definitions - ZAW = Zen At Work, which is a Proprietary Limited Company (A.C.N. 099 232 345), registered at 110 Thompson Street, Scotland Island, NSW 2105.
- Client / customer details = any person or business who has been approached on behalf of Zen At Work at any time for stress reduction services, regardless of whether or not billed work has been commenced.
- You / contractor / representative = person specified in point 1.0.
1.0 This Agreement
1.1 This is a binding contract to join the ZAW register of practitioners who are available to deliver stress-reducing services under the name of ZAW.
1.2 It does not guarantee the availability of work. Once completed, practitioners will be notified of suitable work, as it arises, in the appropriate geographical areas and fields of expertise.

2.0 Role / Services Provided

3. 0 Location
3.1 All service providers, except coaches will be expected to attend clients at their workplace.
3.2 Coaches will be expected to operate from their own premises, or at clients workplaces as appropriate.
3.3 Marketing and Admin assistants may have to operate from their own premises or the ZAW offices as required.
4. 0 Payment
4.1 Invoices
4.1.1 Invoices will be billed, and paid, according to the current Services Fees And Procedures Schedule, a copy of which is attached, and which will also updated and available on the ZAW website.
4.1.2 An ABN must be provided for payment of invoices, and is detailed in point 1.3.
4.2 Invoice periods and payments
4.2.1 Invoices will be paid according to the payment periods on the current Services Fees And Procedures Schedule, (see point 4.1.1).
4.2.2 ZAW will deposit the money electronically into your nominated bank account below: -

4.2.3 The nominated bank account can be changed at any time by notifying ZAW in writing.
4.3 Super and tax obligations
4.3.1 As a contractor ZAW is not legally obliged to pay super, workers compensation, annual leave or PAYG on your behalf, however, the fees incurred do include GST.
4.4 Expenses
4.4.1 You will not be reimbursed for travel expenses to and from client sites, or for related telephone calls etc.
4.4.2 Marketing Assistants will be provided with a prepaid mobile phone for incoming calls only. All outgoing calls must be made from the ZAW telephones.
5.0 Service Appraisals
5.1 Client feedback
5.1.1 ZAW asks for frequent client feedback on the performance of the service providers. The general results will be tabulated and circulated amongst the service providers regularly. Individual feedback may be given where appropriate. A copy of the current feedback criteria, against which you will be measured, is included in the Services Fees And Procedures Schedule. See point 4.1.1
5.1.2 In the event of a client not being satisfied with the service provided by you, ZAW will work as closely as possible with both parties, to come to an equitable agreement between the client and the practitioner.
5.2 ZAW appraisals
5.2.1 The criteria by which ZAW measures your customer service is also included in the Services Fees And Procedures Schedule (point 4.1.1).
5.2.3 This contract lays out the other terms and conditions by which ZAW will measure your performance, see point 10.2.
5.2.2 In the event of ZAW not being satisfied with the service provided by you, ZAW reserves the right to cease the contract immediately.
6.0 Insurance and Public Liability
6.1 Insurance
6.1.1 In order to commence work for ZAW you must have current insurance and public liability.
6.1.2 The name and address of your insurer has been supplied in your initial application. A copy of which is attached. For the contract to be completed a photocopy of the insurance documents must now be included.

6.2 Liability
6.2.1 Should a client claim against ZAW for liability, as a result of a service provided by you, you shall indemnify ZAW irrespective of such claims for losses or damages.
7.0 Professional Qualifications
7.1 In order to provide a service for ZAW you must have relevant qualifications.
7.1.1 The details of these qualifications have been provided in your initial application. A copy of which is attached.
7.1.2 For the contract to be completed, a photocopy of these documents must now be included.

8.0 Commencement Date
8.1 Active registration on the ZAW list of service providers
8.1.1 The start date of active registration on the ZAW list of practitioners is the date at which this contract is signed and fully completed.
8.1.2 By being on this register, you understand that your contact details may be made public to other teachers on the register, in order that they may call on you to cover them if they are unable to attend an appointment. You are under no obligation to attend, unless you are able to.
8.2 Services provided
8.2.1 ZAW will authorise you to provide service(s), on behalf of ZAW and for ZAW clients, as and when the need arises in your geographical area.
9.0 Company Procedures and Policies
9.1 General procedures
9.1.1 You are expected to follow the current company procedures and policies as listed in the current Service Fees and Procedures Schedule: document (see point4.1.2).
9.2 Absence from provision of services due to sickness etc.
9.2.1 If you are unable to attend a booked class or similar appointment on behalf of ZAW, you should follow the current procedure outlined in the Services Fees And Procedures Schedule, document. See point 4.1.1.
9.3 Smoking
9.3.1 Zen At Work operates a no smoking policy
9.3.2 You will not: -
Smoke at a clients premises at all, even if the client is a smoker.
Smoke at company and team meetings.
10.0 Removal from Register and Termination of Services
10.1 Removal from register
10.1.1 You may remove yourself from the ZAW register at any time, by informing ZAW in writing.
10.1.2 ZAW reserves the right to remove practitioners from the register at any time.
10.2 Termination of services being provided
10.2.1 If undertaking a booked course or series of appointments for ZAW, either party must give 5 weeks notice. Unless the conditions for summary termination are invoked, see point 10.3.
10.2.2 After termination or deregistration, the restrictions listed in point 10.4 apply.
10.3 Summary Termination
10.3.1 This agreement and any services provided will be terminated, without notice and or further payments of invoices, following an occurrence of any of the points listed below.
10.3.1.1 You work privately for any of the ZAW clients, during time of active registration, and for the time as specified in point 10.4, after termination.
10.3.1.2 You perform any illegal act, while acting as a ZAW representative.
10.3.1.3 You deliberately mislead a client or ZAW.
10.3.1.4 Any behaviour that ZAW considers unacceptable.
10.3.1.5 You break any of the terms of this contract.
10.4 Restrictions After Termination
10.4.1 You may not approach any of the ZAW clients, on the database at time of termination of services or deregistration, with a view to gain work from them, for a period of 12 months after termination of services or deregistration, unless ZAW gives written permission.
10.4.2 If you are found to be approaching any of the clients for work, or to defame ZAW in any way, ZAW will take appropriate legal action.
11.0 Delivery of Property
11.1 The following will be provided to you at the commencement of the first series of classes or appointments and renewed, as deemed necessary by ZAW.
11.1.1 Black, branded ZAW t-shirt(s).
11.1.2 Exercise mats and equipment, as required, for classes.
11.2 The t-shirt(s) must be worn at every event where you are representing ZAW, eg when teaching classes or assisting in other marketing purposes.
11.3 The mats may be stored at corporate premises or transported by you. At all times, unless the mats are sold to the clients, they remain your responsibility, and you will be liable for undue losses.
11.4 The t-shirt size that you will require is (please delete as necessary):
small / medium / large / extra large, and in male or female style.
12.0 Provision of Services to other Clients
12.1 As a service provider you are expected to operate your own business, or work for another employer while under this contract.
12.1.1However, you must make ZAW aware if you are currently working for other corporates or approaching other corporates with the intention of seeking work, in order to avoid confusion and embarrassment.
